1. Introduction

Welcome to AgentM, a software application, website, and associated services (collectively, the "Services") operated by Agent M, LLC, a Delaware limited liability company ("AgentM," "we," "our," or "us"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and AgentM, governing your access to and use of the Services.

By accessing, installing, or using the Services, you agree to comply with and be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. In the event of material changes, we will notify you via the email associated with your account or through an in-app notice. The "Last updated" date reflects the most recent modification. Your continued use of the Services following such changes constitutes acceptance of the updated Terms.

3. Eligibility

To use the Services, you must:

• Be at least 18 years old, or be 13-17 years old with parental/legal guardian consent.
• Have the legal capacity to enter into a binding agreement.
• Not be barred from using the Services under any applicable laws.

If you create an account on behalf of a business or legal entity, you represent that you have the legal authority to bind such entity.

4. Account Registration & Security

You must create an account to access certain features of AgentM, which may include logging in through a Google account. You are responsible for:

• Keeping login credentials confidential
• All activity that occurs under your account
• Notifying us immediately of unauthorized use or security breaches

AgentM reserves the right to suspend or terminate your account for any violation of these Terms or misuse of the Services.

5. Description of Services

AgentM provides a desktop application that enables you to query your own structured data through natural language using artificial intelligence. AgentM does not upload user database content to company servers; all data accessed or processed by AgentM remains local to your device.

Certain natural language prompts and processing requests may be sent to third-party AI processors (e.g., OpenAI, Anthropic) for interpretation. These third-party processors may store logs of the interactions as part of their service.

You are solely responsible for the legality, accuracy, and backup of any data you submit to the Services.

6. Subscription, Credits & Payments

Access to some features of AgentM may require a paid subscription or credits.

• By signing up for a paid plan, you authorize AgentM to charge your payment method (via Stripe or other third-party processors) on a recurring basis until you cancel.
• Unless stated otherwise, subscription fees are billed monthly or annually and are non-refundable, except where required by law.
• AgentM may change pricing or billing practices with [30] days' notice.

Failure to make payments may result in account suspension or termination.

7. License Grant

Subject to these Terms, AgentM grants you a personal, non-transferable, non-sublicensable, non-exclusive, revocable license to use the Services for personal or authorized business purposes only.

You may not:

• Copy, distribute, sell, or sublicense the Services
• Reverse engineer, decompile, or modify source code
• Use the Services in ways that violate applicable laws or third-party rights

8. Prohibited Use

You agree not to use the Services to:

• Upload, process, or distribute malware, illegal, or harmful content
• Process personal health information (PHI), credit card details, or other sensitive data without proper protections
• Violate intellectual property rights
• Attempt to gain unauthorized access to the Services, servers, or networks
• Interfere with the proper functioning of the Services

Violation of this section may result in immediate termination of access without refund.

9. Ownership & Intellectual Property

All intellectual property rights in the Services (including trademarks, code, and content) belong to Agent M LLC or its licensors.

Your data: You retain ownership of all data you upload or process locally with AgentM. We do not claim rights to your local database.

AI outputs: Outputs generated via the Services may be based on data processed by third-party AI tools. You are responsible for evaluating and using such outputs, which may contain inaccuracies.

10. AI Usage Disclaimer

The Services rely on machine learning and artificial intelligence to interpret prompts and translate them into structured database queries.

We do not guarantee:

• The accuracy, relevance, or legality of AI-generated outputs
• That outputs will be free of errors, omissions, or harmful content
• That third-party AI processors will not retain logs of interactions

You assume full responsibility for any decisions or actions taken based on outputs from the Services.

11. Third-Party Services

AgentM integrates with third-party services, including but not limited to:

• Stripe (payment processing)
• Google Analytics (app usage analytics)
• OpenAI, Anthropic (AI model processing)

You acknowledge and agree that use of these services is subject to the respective terms and privacy policies of the providers, which may involve data transfers outside the United States.

12. Termination

We may suspend or terminate access to your account or Services:

• If you violate these Terms
• For non-payment or fraudulent activity
• For actions deemed harmful to the platform or other users

Upon termination:

• Your license to use the Services immediately ends
• Where permitted, your stored local data remains intact on your device

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT M LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFIT, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability shall not exceed the amount paid by you during the 3 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Agent M LLC from any claims, liabilities, damages, losses, and expenses (including attorney's fees) arising out of:

• Your use of the Services
• Violation of these Terms
• Violation of third-party rights

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware.

Any dispute arising under or relating to the Services shall be resolved by binding arbitration in New York, New York, in English, under the Commercial Arbitration Rules of the American Arbitration Association (AAA).

You agree to waive the right to a jury trial and to participate in class actions.
